FISCAL RESPONSIBILITY
Section 1: The
organization shall be known as Jeffco Business Network, hereinafter
referred to as the initials JBN.
Individual Chapters will be known as JBN (insert approved Chapter
Name).
Section 1: The main purpose of JBN is the exchange of business referrals among its Members.
Section 2: A business referral is defined as a contact between two or more Members, which could potentially turn into a business transaction.
Section 3: In an effort to create good will and a positive image in our community, JBN shall at the discretion of the Board of Directors use the time, talent and treasure of the club for philanthropic purposes.
Section 1: Membership shall be limited to only one person per occupation. The Membership Committee shall determine each member’s classification and render a ruling in all potential conflicts.
Section 2: A Member can only represent one occupation within the organization and must work full time and be experienced in that occupation.
Section 3: Prospective Members must attend two meetings and submit an application to the Membership Committee Chairman together with the membership dues.
Section 4: The Membership Committee Chairman will conduct an investigation and give a report to the Membership Committee with in one week.
Section 5: A vote of the Membership Committee will then approve or deny the applicants membership.
Section 6: The applicant shall be notified of the decision no later than two weeks after submitting an application.
Section 7: Accepted applicants will be given probationary status for a period of six months.
Section 8: An applicant that is rejected will receive a full refund of dues paid.
Section 9: An applicant that is accepted and subsequently decides not to join, shall not receive a refund of any part of the dues paid.
Section 10: A membership may be owned by an individual or by a business.
Section 11: Individual membership is not transferable and cannot be sold.
Section 12: The membership may be owned by a business, in which case another employee may represent the business if the former employee leaves employment.
Section 1: Attendance
Section 1a: Members are required to attend or send a substitute to every meeting.
Section 1b: Failure to be represented at 3 or more meetings in a six-month calendar period will result in that Member being place on probationary status.
Section 1c: Failure to be represented at 5 or more meetings in a six-month calendar period shall be grounds for termination of membership.
Section 1d: Arriving late or leaving early will equal ½ of an absence.
Section 2: Participation
Section 2a: It is a requirement of membership that each Member give a minimum of two qualified referrals each month.
Section 2b: Failure to comply with this requirement will result in that Member being place on probationary status.
Section 2c: Failure to comply with this requirement for two consecutive months shall be grounds for termination of membership.
Section 3: Meal Dues
Section 3a: A meal will be served at the weekly meeting. The cost of this will be borne by the Members. The amount levied by the Board of Directors will be payable on a monthly basis, in advance.
Section 3b: Meal Dues are due at the first meeting of each month.
Section 3c: Meal Dues are late after the second meeting of the month.
Section 3d: Members who fails to pay their Meal Dues by the close of the third meeting of the month will be invoiced for their tardy dues by the Treasurer, and fined a $10 late fee.
Section 3e: If Meal Dues have not been paid by the close of the fourth meeting of the month, the Member will be fined an additional $10 per week they are late, and the membership of the individual or business will be placed on probationary status for six months.
Section 3f: Failure to pay Meal Dues by the close of a sixth meeting without paying shall be grounds for termination of membership.
Section 4: Speaking
Responsibility
Section 4a: Each Member shall be periodically required to speak before the membership of JBN regarding some facet of his/her business. The purpose of this speaking opportunity is to acquaint the membership with your business so that they may have the knowledge required to give quality referrals.
Section 4b: The speaker of the day will provide a gift (not a personal certificate of discount) with a value not to exceed $25.
Section 4c: A Member who fails to attend or speak on their appointed day shall be fined $35 and their membership shall be place on probationary status.
Section 5: Service
Hours
Section 5a: Each Member shall be required to perform 10 Service Hours each
six-month calendar period to better the community. Five of these hours should be spent in conjunction with JBN Philanthropic
activities.
Section 5b:
Members shall report Service Hours by recording such in the Community Service
Log.
Section 5c: Members shall report Service Hours within one calendar month of when
the hours are performed.
Section 5d: Failure to comply with these requirements will result in that Member being place on probationary status.
Section 5e: Failure to comply with these requirements for two consecutive six-month periods shall be grounds for termination of membership.
Section 6: Annual Dues & Renewal Dues
Section 6a: Each prospective Member of the JBN shall submit with their application a membership fee of $150 and a one time charge of $50 to join, and one month meal dues.
Section 6b:
Each member’s dues shall be renewed annually on the date of their original
application.
Section 6c: If
a Member fails to pay dues on the renewal date they shall be fined $25.
Section 6d: If a Member fails to pay renewal dues within 15 days after the
renewal date they shall be fined $50 and their membership will be placed on
probationary status.
Section 6e: Failure to pay renewal dues 30 after the renewal date the membership shall be grounds for termination of membership.
Section 7: Exclusive
Section 7a: It is a condition of membership that Members do not belong to any other networking group.
Section 7b: Members should make every effort to refer business exclusively to other Members of JBN.
Section 7c: Whenever possible Members should direct their personal and professional business to other Members of JBN.
Section 7d: If Member
fails to adhere to this section the membership shall be terminated.
Section 1: Meetings will be held every week unless the President cancels a meeting because of a Public holiday.
Section 2: The format of the meeting will be as follows:

Section 2c: Educational/Motivational Coordinator (3) minutes

Section 1: Chapter Board of Directors
Section 1a: The Chapter Board of Directors of JBN shall consist of (5) five elected Members.
Section 1b: Board of Directors elections shall be conducted in accordance with Election Procedure Articles.
Section 1c: The terms of the Board Members shall be (2) two years, and will run from November 1st through October 31st.
Section 1d: Board of Directors Members may serve consecutive terms.
Section 2: The President
Section 2a: An elected Member shall fill the position of President.
Section 2b: Presidential elections shall be conducted in accordance with Election Procedure Articles.
Section 2c: The term of the President shall be for one (1) year, and will run from January 1st through December 31st (the Calendar Year).
Section 2d: A President is limited to (2) two consecutive terms.
Section 2e: Any President that fails to perform their office to the satisfaction of the Chapter Board of Directors may be replaced by a majority vote of the Chapter Board of Directors.
Section 3: The Leadership Team
Section 3a: The Leadership Team consists of presidential appointments for Vice President, Secretary, Treasurer, Motivational Director, Visitor Host, Marketing Coordinator, and Mentoring Director.
Section 3b: All Leadership Team Officers may serve more than two consecutive terms.
Section 3c: If there is a vacancy on the Leadership Team the President shall appoint a replacement for the un-expired term.
Section 4: The Membership Committee
Section 4a: The Membership Committee consists of the Chairman (the Vice-President), and two appointments from the Membership.
Section 4b: Membership Committee Members may serve more than two consecutive terms.
Section 4c: If there is a vacancy on the Membership Committee the Committee Chairman (the Vice-President) shall appoint a replacement for the un-expired term.
Section 1: The Chapter Board of
Directors’ Duties
Section 1a: Each Chapter Board of Directors shall have control and management of JBN, determine all policies, and generally supervise the affairs of it’s JBN Chapter. A majority of the board shall constitute a quorum. A majority of those present (quorum required) shall be necessary to give effect to any action of the board.
Section 1b: The Board of Directors elects the President of it’s JBN Chapter.
Section 1c: The Chapter Board is the final arbiter of all matters related specifically and exclusively to it’s chapter and no committee or officer shall override the Board. In cases where JBN by-laws are violated or called into question, the Founder’s Council shall make the final decision.
Section 2: President’s Duties
Section 2a: The President shall appoint the Vice President, Secretary, Treasurer, Motivational Director, Sergeant at Arms, Marketing Coordinator, and Mentoring Director.
Section 2b: The President is responsible for all aspects of the organization and shall plan, call, and preside over meetings of the General Membership. Further, the President shall set agendas, select Special Committee Members, and run the day-to-day operations of the organization.
Section 2c: The President may replace any Officer that fails to perform their office to the satisfaction of the President.
Section 2d: A removed Officer may appeal the decision to the Board of Directors.
Section 2e: The President shall fill any vacancy on the Leadership Team within 30 days of the official announcement of the vacancy. If the President cannot fill the vacancy within this time, a request may be made to the Chapter Board of Directors for and extension of this time.
Section 3: Vice-President’s Duties
Section 3a: The Vice-President assists the President in management of the organization and presides over meetings in the President’s absence.
Section 3b: In the advent of a vacancy in the position of President, immediately upon the vacancy, the Vice-President shall assume the duties and responsibilities of President, as Interim-President, until such time that an election can be conducted for a replacement for the un-expired term.
Section 3c: The Vice-President shall serve as Chairman of the Membership Committee.
Section 3d: The Vice-President shall appoint two additional Members to form the Membership Committee.
Section 3e: The Vice-President will keep records of attendance and number of referrals generated.
Section 3f: The Vice-President will report these numbers at each week’s meeting.
Section 3g: The Vice-President shall impose fines and take disciplinary action at the direction of the Membership Committee.
Section 4: The Membership Committee’s Duties
Section 4a: The Membership Committee shall have control and management of members, discipline Members and generally supervise the affairs of the members. A majority of the committee shall constitute a quorum. A majority of those present (quorum required) shall be necessary to give effect to any action of the committee.
Section 4b: The Membership Committee shall determine all matters regarding of the retention and termination of Members who fail to comply with the obligations of membership or for any other reason, are deemed not to meet the requirements for membership of JBN.
Section 4c: Decisions of The Membership Committee may be appealed to the Board of Directors.
Section 5: Secretary’s Duties
Section 5a: The Secretary shall schedule weekly speakers in alphabetical order.
Section 5b: The Secretary shall maintain a calendar indicating when each Member is due to speak.
Section 5c: The Secretary shall notify the membership as to who is scheduled to speak at the next two following meetings.
Section 5d: The Secretary will keep records of Show-Me-The-Money slips generated.
Section 5e: Upon request, the Secretary will prepare reports of these numbers for presentation at a future weekly meeting.
Section 6: Treasurer’s Duties
Section 6a: The Treasurer shall collect all dues and maintain record of such payments.
Section 6b: The Treasurer shall provide receipts to Members for all Meal Dues paid.
Section 6c: The Treasurer shall invoice Members for tardy monthly meal dues.
Section 6d: The Treasurer shall inform the Vice-President when Members are invoiced for tardy meal dues.
Section 6e: The Treasurer shall make disbursements to pay expenses as directed or authorized by a majority vote of the General Membership.
Section 6f: The Treasurer shall keep record of all organization expenditures.
Section 6g: The Treasurer shall provide a weekly report of receipts and disbursements.
Section 6h: The Treasurer shall inform each Member 60 days prior to their renewal date.
Section 7: Motivational
Director’s Duties
Section 7a: The Motivational Director shall take five minutes each week to educate the membership on better ways to find quality referrals and better their business.
Section 8: Visitor Host Duties
Section 8a: The Visitor Host shall arrive earlier at all meeting and shall attend to all needs of visitors.
Section 8b: The Visitor Host shall assist the President at maintaining order at all meetings.
Section 8c: The Visitor Host shall follow up on all visitors to determine their intentions.
Section 9: Marketing
Coordinator’s Duties
Section 9a: The Marketing Coordinator shall look for opportunities to market JBN.
Section 9b: The Marketing Coordinator shall assist the President in creating philanthropic activities.
Section 9c: The Marketing Coordinator shall report weekly to the members.
Section 10: Mentoring
Director‘s Duties
Section 10a: The Mentoring Director shall guide and encourage new members.
Section 10b: The Mentoring Director shall be available to the General Membership as a resource to address any questions pertaining to the Organization, its Purpose, By-Laws, and Methods.
Section 10c: The Mentoring Director shall seek out opportunities in which JBN can serve the community.
Section 10d: The Mentoring Director shall assist the President in choosing these activities.
Section 10e: The Mentoring Director shall record member’s service hours in the accommodating online system.
Section 10f: The Mentoring Director shall report Members Service Hours periodically, upon request, to the Vice-President.
Section 10g: The Mentoring Director shall report Service Hour deficiencies, upon request, to the Membership Committee.
Section 10h: The Mentoring Director shall spend (3) minutes each week educating members on ways to improve their participation in the group.
Section 1: General Procedures
Section 1a: The Chapter General Membership elects the Chapter Board of Directors.
Section 1b: The Chapter General Membership chooses the nominees for the position of President.
Section 1c: The Cahpter Board of Directors elects the President from the list of nominees chosen by the Chapter General Membership.
Section 1d: Voting is done by a show of hands, by ballot, or by "acclamation" (when only one candidate has been nominated).
Section 1e: An open nomination period shall exist prior to all elections, announced by the President as an agenda item at a meeting of the Chapter General Membership.
Section 1f: Nomination periods, under normal circumstances, shall not be less than one week.
Section 1f: As warranted, and with a general consensus by a show of hands of Members present at a meeting of the Chapter General Membership, the President can call for a nomination period of less than one week.
Section 1g: The President shall make the appropriate call for nominations as an agenda item at the meeting of the Cahpter General Membership following an open nomination period.
Section 2: Chapter Board of Directors
Section 2a: Chapter Board of Directors Elections shall be conducted as an agenda item during the last Chapter General Membership Meeting of the month of October.
Section 2b: The President is ineligible for nomination for, and election to, the Chapter Board of Directors.
Section 2c: Election of the Chapter Board of Directors shall be complete by November 1st in order to have the new board in place prior to the upcoming Presidential Election.
Section 2d: On odd number years three positions will be up for election. Each voting Member shall cast three votes accordingly.
Section 2e: On even numbered years two positions will be up for election. Each voting Member shall cast two votes accordingly.
Section 2f: In the advent of a vacancy on the Chapter Board of Directors:
(a) (a) Within 30 days of the vacancy, the President shall announce at a meeting of the Chapter General Membership the necessity for an election, and commencement of the nomination period.
(b) (b) Following the nomination period, the Members shall choose their nominees, and elect a replacement for the un-expired term.
(c) (c) All said vacancies should be filled within 60 days.
Section 3: President
Section 3a: Election of the President shall be complete by December 1st in order to allow the President-Elect time to set up, train, and transition the Leadership Team by January 1st.
Section 3b: The Chapter Board of Directors shall conduct the Presidential Election prior to the last General Membership Meeting of the month of November.
Section 3c: Members of the Board of Directors are ineligible for nomination for, and election to, the position of President.
Section 3d: In the advent of a vacancy in the position of the President:
(a) (a) As soon as practical, the Interim-President (Vice-President, assuming responsibilities) shall announce at a meeting of the General Membership the necessity for an election, and commencement of the nomination period.
(b) (b) Following a minimal nomination period, the Members shall choose their nominees for President to be forwarded to the Board of Directors.
(c) (c) The Chapter Board of Directors shall elect a replacement President to fill the un-expired term.
(d) (d) All said vacancies should be filled within 30 days.
Section 4: Founder’s Council
Section 4a: Founder’s Council Elections occur on even-numbered years only, except in the event of a vacancy or the expiration of terms.
Section 4b: Nominations are taken beginning the day of Chapter Board of Director’s election and voting of the Chapter General Membership shall occur within one week of nominations.
Section 4c: Nominations for Founder’s Council members shall be taken from the Chapter General Membership.
Section 4d: Each Chapter shall elect two members of its Chapter Board of Directors to the Founder’s Council by vote of the Chapter General Membership.
Section 1: The President, Vice-President, Secretary and Treasurer shall have $100 of their next year’s membership dues waived as compensation for work performed in maintaining JBN.
Section 2: The Motivational Director, Visitor Host, Marketing Coordinator, and Mentoring Director shall have $75 of their next year’s membership dues waived as compensation for work performed in maintaining JBN.
Section 3: Any Member who sponsors a visitor and that visitor becomes a dues paying Member of JBN, then that Member shall have $25 of their next yea’rs membership dues waived.
Section 4: No Member shall be compensated more than their membership dues amount.
Section 1: The Membership Committee has the right to terminate any membership if the Member in question acts in an unprofessional manner, is convicted of any crime, exhibits moral turpitude, lacks the professional competence to represent the category that they represent or fails to comply with the requirements of membership outlined in these bylaws.
Section 2: In the event that this action becomes necessary, upon the recommendation and report of the Membership Committee the vice president will inform the offending Member of the action.
Section 3: That Member may appeal the Membership Committee’s decision to the Board of Directors.
Section 4: A meeting of the board of directors will be held and a vote of the board will follow and a majority of Board Members present will decide to terminate the member. The decision of the Board is final.
Section 5: In the event that two or more Members have an overlap of occupations and a conflict of interest arises, the Members must agree on the areas of business they will represent in the organization so that the conflict is resolved. If they cannot agree, the Membership Committee will resolve the conflict and the decision of the Membership Committee shall be final.
Section 6: In the event that a Member wishes to change his category of membership within JBN, he must submit his request to the Membership Committee Chairman. The Membership Committee Chairman will interview him and report to the Membership Committee at the next meeting. The Membership Committee will discuss the application and vote. The candidate may not be present during the discussion or vote. If the candidate is successful, he must resign his previous category. If he is unsuccessful, he may continue in is previous category.
Section 7: Since the primary purpose of this organization is the exchange of referrals, it is a requirement of membership that each Member gives a minimum of two referrals to other Members each month. Failure to comply with this requirement is cause for termination of membership. This rule is made with the express understanding that if it conflicts with any members' professional code of conduct, as stipulated by their professional body, they shall be relieved of this requirement of membership. The onus is on the individual Member to provide written proof to the Board of Directors; the board will grant relief only after considering the evidence and authenticating its origins.
Section 8: If a Member leaves the organization, either voluntarily or because they fail to meet the requirements outlined here and are terminated, there will be no refund of dues paid.
Section 1: All amendments and additions to the by-laws require the approval of two thirds of the General Membership in attendance. Changes to the by-laws must first be discussed and approved by the Board of Directors. Then and only then, can they be presented to the General Membership for discussion. Thereafter all Members must be informed, in writing, of the final written version of any proposed changes at least seven days before the vote of the General Membership.
Section 1: Any Member of JBN that has reason to spend JBN funds, on behalf of JBN must act in a manner that is fiscally prudent. If the amount of the purchase will exceed five hundred dollars, three estimates must be obtained. The vendor that offers the service or product at the most competitive price should be awarded the business; however quality and reliability should also be considered. When a situation exists where two or more vendors offer a similar product or service at a similar price, the contract should be awarded to whichever one is a Member of JBN.
Section 2: When there is no clear winner in choosing a vendor, the decision of the Board shall be final in choosing a vendor. It is imperative that no Board Member has a conflict of interest. Any Board Member who will benefit directly or indirectly from such business must recuse themselves from any vote to select a vendor.
ARTICLE 13: CHAPTERS
Section 1: The Creation of a New JBN Chapter
Section 1a: An individual(s) who has been member of the JBN organization for 90 days or more may announce, to the President of his/her Chapter, their intent to form a new chapter. The announcement must be complete with a reason for the new chapter, a region or area which the new chapter will serve, and a name for the proposed new chapter. Upon receiving the announcement, the President will call for a meeting of the Board of Directors to review the matter. The Board will decide to approve of deny the request.
Section 1b: If the Board denies a request to form a new chapter, a member may re-submit the request after a period of 90 days.
Section 1c: If the Board of Directors approves the request for the formation of the new chapter, they shall appoint one of the requesting members as the Interim President of the new chapter.
Section 1d: The Interim President of a new chapter is responsible for recruiting potential members for the new chapter. He/she holds a meeting of the prospective members to introduce those in attendance to JBN, its philosophies and procedures, and to accept applications for open enrollment to the new chapter.
Section 1e: The Interim President of the new chapter will utilize the membership committee from his/her existing chapter to review and approve or deny initial applications for membership in the new chapter. The committee shall review applications within one week of receiving them. Each application shall be submitted with a $50.00 application fee. In addition, each applicant must submit annual membership dues of $150.00 (unless transferring from another chapter). All application fees will be paid to the chapter that reviews the applications. All membership dues will be paid to the new chapter, for deposit into a chapter checking account set up in the name of the JBN Chapter.
Section 1f: It is the responsibility of the Interim President to secure at least ten approved members for the new chapter.
Section 1g: The Interim President will notify all approved and denied members of the status of their application after review as well as inform the approved members of the next meeting place and time.
Section 1h: By the second meeting, the Interim President will have selected a leadership team from the approved members of the new chapter. At the meeting he/she will hold open nominations for the new chapter’s Board of Directors. This meeting will be conducted per JBN meeting structure outlined in the by-laws, with the exception of leadership team reports and ten minute presentation. The ten minutes will be used for open discussion about the direction of the chapter.
Section 1i: The new chapter’s first two meetings meals will be paid by the individuals present, each paying his or her share.
Section 1j: The regular meeting place and time should be established by the third meeting, and meal dues should be collected at the third meeting. The third meeting will be held per JBN meeting structure. At this meeting nominations will again be taken for the Chapter Board of Directors positions. Voting for Three two-year Board positions and TWO one-year board positions will take place per by-laws as an agenda item in this meeting.
Section 1k: On November 1st, regardless of time served, the one-year board positions will expire, the two-year terms will have one year remaining. Per by-laws, the two positions being vacated must be filled by November 1st so that a President may be elected by December 1st. The Interim President’s first term, as well as the terms of the leadership team, will be over on December 31st of the inaugural year, regardless of time served.
Section 2: Transferring
Membership to the New Chapter
Section 2a: Within 30 days of the approval of a new chapter, Members of JBN may apply for membership in the newly created chapter by submitting an application for membership and a $50.00 application fee. The application will be reviewed as a new application. No transfers will be allowed after 30 days.
Section 2b: Existing JBN members who apply, and are accepted in to the new chapter will forfeit any meal dues paid and must pay meal dues in the new chapter based on the pro-rated meals for the meetings remaining in the month of the transfer.
Section 2c: Existing JBN Members who apply, and are accepted into the new chapter will retain their original membership renewal date, but will receive no discounts on membership renewal if they are leaving a leadership position to transfer to the new chapter.
Section 2d: No member may transfer to the new chapter until all membership and meal dues are paid up to date.
Section 3: Chapter Membership
Section 3a: No Business or individual may have representation in more than one chapter of JBN.
Section 3b: The initial members of a new chapter will be deemed “Charter” members of that chapter. The status is in name only and does not qualify the member for any discounts or special treatment.
Section 3c: Original JBN Charter member status remains intact in the event of transfer to a new chapter.
Section 3d: Members are encouraged to refer business between chapters whenever possible.
ARTILCE 14: JBN FOUNDER’S
COUNCIL
Section 1: The Founder’s Council shall be made up of two members of each Chapter Board of Directors. Each Chapter General Membership will elect it’s representatives to the Founder’s Council by open nomination and voting of the General Chapter Membership. All Founder’s Council Terms shall be limited to Two years and each Member may serve no more than two consecutive terms.
Section 1a: The purpose of the Founder’s Council is to review and present changes to the By-laws of JBN and to act as arbiter in disputes between chapters and any other matters that it deems crucial to the overall health of JBN as a whole.
Section 1b: The Founder’s Council will be responsible for assuring compliance to, and enforcement of, the JBN by-laws by all Chapters.
Section 1c: The Founder’s Council shall meet a minimum of one time per
year. As an agenda item to this
meeting, the Founder’s Council will review the current by-laws for any
potential changes needed.
The following have adopted these JBN By-Laws Amendments.
By a vote of the current Founder’s Council, Chapter Board of Directors, and General Membership, whose names and signatures follow, these organizational by-laws are accepted, and enacted.
